Riverside Networks Users Agreement

This Registered User Agreement governs the rights and responsibilities concerning Riverside Networks registration and use. IF YOU ARE REGISTERING FOR RIVERSIDE NETWORKS, PLEASE TAKE THE TIME TO READ AND UNDERSTAND THE CONTENT AS YOU WILL BE BOUND BY THESE TERMS AND CONDITIONS OF USE.

If you have not registered with Riverside Networks, please review the existing terms of service of the Web sites, services and products you use in order to learn about their terms and conditions for using their features, offerings and content. This documentation will be found prior to an installation of Software or Proceeding to Register for Internet Services.

Electronic Notices and Registration
By registering for a Riverside Networks Service, you agree to transact with the network electronically and to receive all information and notices from Riverside Networks electronically.

Riverside Networks aims are to improve your on-line experience by offering you access to a variety of features, services and content. Riverside Networks provides you on-line features, Internet services, software and tools, such as Riverside Networks 'Dedicated Email Suites'. Registered users can also have access to other content, products and services from Pineapple Blue™ and the Networks other co-collaboration partners 'Cisco Systems', Real Networks, Netscape Customization Software, Mozilla Foundation Development Software Products and other affiliated providers ("affiliated providers"). Registering with Riverside Networks is optional. Although anyone may access many of the web sites participating in Riverside Networks, only registered users may use certain features and tools offered by Riverside Networks.

Updates and Improvements

Riverside Networks may change the Terms of Service, in its sole discretion, from time to time. Riverside Networks, and any of the affiliated providers, reserves the right to impose charges for any features or services. If Riverside Networks makes material changes to the Terms of Service, it will provide notice to you at least 30 days in advance of those changes becoming effective. The modified Terms of Service will be effective immediately upon posting, and you agree to the new posted Terms of Service by continuing your use of Riverside Networks. If you do not agree with the modified Terms of Service, your only remedy is to discontinue using the Riverside Networks and to cancel your registration or arrangements you may have.

Requirements for Registration
You represent and warrant that you have adequate legal capacity to enter into binding agreements such as this Registered User Agreement. You must register and disclose for Internet Services in order to register and purchase your name, e-mail address, residential address, postal/zip code, telephone number, your company name if applicable, or such information as is required to register for a Subscription service offered through Riverside Networks (the "Registration Information"). You will obtain a confirmation by email of any service you register too with details and instruction of service, features and tools.

Dormant Accounts

Riverside Networks may cancel a registration and service and delete any e-mail or facilities on Riverside Networks My Mail or Dedicated Mail Service of any registered users who do not have a current subscription or who does not use the service (failure payment, renewals, abuse of service). If your service is cancelled, you will need to re-register again as a new Riverside Networks user and obtain a new registration to obtain access to services and features pertaining to the selective service or services, features and tools. If the previous registration used was cancelled and has not been taken by another registered user of Riverside Networks or any of its affiliated services you may re-register. You agree that Riverside Networks may deactivate any free e-mail account service that is not used or visited within a period of thirty (30) consecutive days. You agree that Riverside Networks has no responsibility or liability for the deletion or failure to store any e-mail messages on such deactivated e-mail accounts or web pages and information for internet services provided through failure of payment. If your e-mail account is deactivated, you will need to reactivate an e-mail account or Internet service you will need to sign up for a new account.

Registered User Information

Riverside Networks Privacy Policy explains how the Network collects and uses information and the choices you have with that information. You consent to Riverside Networks using your registration information and other information collected by the Network under the terms of the Riverside Networks Privacy Policy.

By registering with or using Riverside Networks, you consent to the collection and use of your personal information and the transfer of this information to the United Kingdom for processing and storage. You agree that Riverside Networks may use certain information to establish confirmation and authentication when registering for a particular service or services. Riverside Networks helps store your registration and transaction related information, and enables you to take advantage of services from Riverside Networks and its affiliated providers. Co-collaboration Partners and Affiliate Sites

Your use of web sites offered by co-collaboration partners and affiliated providers will be subject to their own terms, codes of conduct or guidelines that govern use of those sites. You agree to abide by such other terms and conditions and operating rules. This Registered User Agreement in no way modifies or pre-empts the terms and conditions of the co-collaboration partners or affiliated providers' web sites. Your violation of the terms and conditions of any co-collaboration partners or affiliated provider's web site while using any of Riverside Networks services or by accessing those sites through the Riverside Networks, shall constitute a breach of this Agreement.

Your Responsibility

You are responsible for all activity made by you or anyone you allow to use your Riverside Networks account and services, including business colleagues, your children, other members of your family or friends. You are responsible for obtaining your own Internet access if supplied by another provider, including maintaining all telephone, computer hardware and other equipment needed for access to use Riverside Networks, and all charges related thereto. Any telephone or other communications charges incurred by you to access Riverside Networks if you are not a Riverside Networks ISP account holder, you are your responsibility. Since these charges are your responsibility, you should contact your local telephone company or communications provider if you have a question about whether your access carry any long distance charges or other premium rate charges from your location.

You May Only Use Riverside Networks for Lawful Purposes Only

You may use Riverside Networks features, services and content for lawful purposes only. You agree to provide Riverside Networks with accurate, complete and updated registration information, and you agree to keep such information current. You may not (1) select or use an account of another person with the intention of impersonating that person, (2) use an account of anyone else without authorization, (3) use an account name that is in violation of the intellectual property rights of any person, (4) use an account name that Riverside Networks considers to be offensive or (5) send unsolicited bulk e-mail, junk e-mail or unsolicited bulk messages. You agree to abide by any operating rules posted by Riverside Networks.

You may not post on or transmit through community areas (e.g., message boards, chat, e-mail, calendars, instant messaging products) any material that (1) violates or infringes in any way upon the rights of others, (2) is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, indecent or otherwise objectionable, (3) encourages conduct that would constitute a criminal offence, (4) gives rise to civil liability or (5) otherwise violates any law. You also may not undertake any conduct that, in Riverside Networks judgement, restricts or inhibits any other user from using or enjoying the Riverside Networks experience, including without limitation the community areas.

No Spam, Bulk Email or Bulk Messaging

Your membership to services gives you access and use of Riverside Networks communication tools, including such features as sending and receiving e-mail, internet services, software and other technologies. This does not mean that you may use such communication tools to send unsolicited bulk e-mail or unsolicited communications (e.g., chat, instant messages, etc.). You may not use the user directory or any other area of Riverside Networks or other Riverside Networks property to harvest or collect information, including customer accounts , about Riverside Networks users, and account holders the use of such information for the purpose of sending unsolicited bulk e-mail or instant messages is strictly prohibited and a violation of personal privacy rights.

You Must Have the Appropriate Rights to Post Content on Riverside Networks

You shall not upload, post or otherwise make available on any community areas such as message boards, chat, web pages and instant messenger any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. You are responsible for determining whether copyright, trademark or other proprietary right protects such material. You shall be solely liable for any damages resulting from any infringement of copyright, trademark or other proprietary right, or any other harm resulting from any uploading, posting or submission.

Changes to the Service

Riverside Networks has the right at any time to change, modify, add to or discontinue any aspect or feature of Riverside Networks including, but not limited to, the community areas, content, hours of availability and equipment needed for access or use. Riverside Networks has no obligation to provide you notice of any such changes.

Your License to the Network

You hereby grant to the Riverside Networks and the co-collaboration partners and affiliated providers a world-wide, royalty free, perpetual, irrevocable and non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any material you post in the community areas and/or any e-mail sent by you to the Riverside Networks or any of its co-collaboration partners and affiliates (in whole or in part) and/or to incorporate such content in other works in any form, media or technology now known or later developed.

The Network License to You

Riverside Networks provides you with a limited license to use the software and internet services distributed by Riverside Networks ("Network Software and Internet Service Technologies"), which you agree to use in accordance with these rules. You may not sub license, or charge others to use or access, Riverside Networks software without first obtaining written permission from Riverside Networks or co-collaboration partners or affiliates. Riverside Networks occasionally will provide automatic upgrades to improve your on-line experience, and it employs virus screening technology to assist in the protection of its network and its registered users.

Riverside Networks grants to you a non-exclusive, limited license to use the Riverside Networks Software and Internet services in accordance with this Agreement. This license is subject to the restriction that, except where expressly permitted by law, you may not translate, reverse engineer or reverse compile or de-compile, disassemble or make derivative works from Riverside Networks Software and Services. You may not modify the Riverside Networks Software or Services or use it in any way not expressly authorized by this Agreement. You understand that Riverside Networks introduction of various technologies may not be consistent across all platforms and that the performance and some features offered by Riverside Networks may vary depending on your computer and other equipment based on age, platform, operating system, processing abilities.

Proprietary Rights

Riverside Networks contains copyrighted material, trademarks and other proprietary information including text, software, photos, video, graphics, music and sound, and the entire content of Riverside Networks is copyrighted as a collective work under the United Kingdom (England and Wales) in copyright laws.

You may not modify, publish, transmit, display, participate in the transfer or sale of, create derivative works or in any way exploit the content of Riverside Networks or any portion of it. Except as otherwise expressly permitted under copyright law, you may not copy, redistribute, publish, display or commercially exploit any material from Riverside Networks without the express permission of Riverside Networks and the copyright owner. No portion of the content on Riverside Networks may be stored in a computer except for personal and non commercial use.

Monitoring
Riverside Networks has the right, but not the obligation, to monitor the content of Riverside Networks and other Riverside Networks properties, including without limitation community areas, to determine compliance with the Terms of Service and any other operating rules that may be established by Riverside Networks from time to time. Riverside Networks has the right in its sole discretion to edit, refuse to post or remove any content or other material submitted to or posted on Riverside Networks or other Riverside Networks properties. Without limiting the foregoing, Riverside Networks has the right, but not the obligation, to remove any content or other material that it, in its sole discretion, finds to be in violation of the provisions of these Terms of Service, otherwise objectionable or stale. Users shall remain solely responsible for the content of their messages. You acknowledge and agree that neither Riverside Networks nor any of the co-collaboration partners or affiliated providers shall assume or have any liability for any action or inaction by Riverside Networks with respect to any conduct within the community areas or any communication or posting on the community areas.

No Endorsement
Riverside Networks contains links to other web sites, resources and advertisers. Riverside Networks is not responsible for the availability of these external sites or services or does it endorse, or is it responsible for, the aesthetics, appeal, suitability to taste or subjective quality of informational content, advertising, products or other materials made available on or through such external sites. Under no circumstances shall Riverside Networks or any of the co-collaboration partners or affiliated providers be held responsible or liable, directly or indirectly, for any loss or damage caused or alleged to have been caused to you in connection with the use of or reliance on any content, goods or services available on such external site. You should direct any concerns to such external site's administrator or web master.

Disclaimer of Warranty; Limitation of Liability.
I. YOU EXPRESSLY AGREE THAT USE OF RIVERSIDE NETWORKS IS AT YOUR SOLE RISK. NONE OF RIVERSIDE NETWORKS, RIVERSIDE NETWORKS COMMUNICATIONS, PINEAPPLE BLUE MEDIA, CO-COLLABORATION PARTNERS OR AFFILIATED PROVIDERS OR ANY OF THEIR RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSEES (COLLECTIVELY, RIVERSIDE NETWORKS PROVIDERS") WARRANT THAT RIVERSIDE NETWORKS AND FEATURES, SERVICES AND CONTENT PROVIDED BY CO-COLLABORATION PARTNERS OR AFFILIATED PROVIDERS WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF RIVERSIDE NETWORKS OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE OR PRODUCTS PROVIDED THROUGH RIVERSIDE NETWORKS OR CO-COLLABORATION PARTNERS OR THE AFFILIATED PROVIDERS.

II. RIVERSIDE NETWORKS PROVIDERS MAKE AVAILABLE THEIR SERVICES ON AN "AS IS", "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THE TERMS OF SERVICE.

III. THE DISCLAIMERS OF LIABILITY BY RIVERSIDE NETWORKS PROVIDERS CONTAINED IN THIS SECTION APPLY TO ANY DAMAGES OR INJURY CAUSED BY ANY (I) FAILURE OF PERFORMANCE, (II) ERROR, (III) OMISSION, (IV) INTERRUPTION, (V) DELETION, (VI) DEFECT, (VII) DELAY IN OPERATION OR TRANSMISSION, (VIII) COMPUTER VIRUS, (IX) COMMUNICATION LINE FAILURE OR (X) THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORT IOUs BEHAVIOUR, NEGLIGENCE OR UNDER ANY OTHER CAUSE OF ACTION. YOU SPECIFICALLY ACKNOWLEDGE THAT NONE OF RIVERSIDE NETWORKS PROVIDERS IS LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

IV. IN NO EVENT WILL ANY RIVERSIDE NETWORKS PROVIDER OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE SERVICES OFFERED BY THE RIVERSIDE NETWORKS PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE FEATURES AND CONTENT PROVIDED BY RIVERSIDE NETWORKS PROVIDERS OR OUT OF THE BREACH OF ANY WARRANTY. YOU HEREBY ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT PROVIDED BY RIVERSIDE NETWORKS PROVIDERS. RIVERSIDE NETWORKS PROVIDERS' LIABILITY, IF ANY, TO A USER SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT PAID TO RIVERSIDE NETWORKS BY SUCH USER.

V. RIVERSIDE NETWORKS PROVIDERS NEITHER ENDORSE NOR ARE RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE OR STATEMENT OFFERED THROUGH RIVERSIDE NETWORKS, NOR FOR ANY OFFENSIVE, DEFAMATORY OR OBSCENE POSTING MADE ON THE COMMUNITY AREAS BY ANYONE OTHER THAN AUTHORIZED RIVERSIDE NETWORKS EMPLOYEE SPOKESPERSONS WHILE ACTING IN THEIR OFFICIAL CAPACITIES. UNDER NO CIRCUMSTANCES WILL ANY OF RIVERSIDE NETWORKS PROVIDERS BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION OBTAINED THROUGH EITHER THE CONTENT ON ANY RIVERSIDE NETWORKS SITES AND/OR ANY POSTINGS ON THE COMMUNITY AREAS. IT IS YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY INFORMATION, OPINION, ADVICE OR OTHER CONTENT AVAILABLE THROUGH RIVERSIDE NETWORKS AND/OR THE COMMUNITY AREAS. VI. RIVERSIDE NETWORKS PROVIDERS DO NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCTS OR SERVICES OFFERED THROUGH RIVERSIDE NETWORKS AND WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN USERS AND THIRD PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGEMENT AND EXERCISE CAUTION WHERE APPROPRIATE. RIVERSIDE NETWORKS PROVIDERS MAKE PRODUCTS OR SERVICES AVAILABLE ON RIVERSIDE NETWORKS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THE TERMS OF SERVICE.

VII. PRIOR TO THE EXECUTION OF A PURCHASE OR SALE OF ANY SECURITY OR INVESTMENT, YOU ARE ADVISED TO CONSULT WITH YOUR BROKER OR OTHER FINANCIAL ADVISOR TO VERIFY PRICING AND OTHER INFORMATION. NONE OF RIVERSIDE NETWORKS PROVIDERS SHALL HAVE ANY LIABILITY FOR INVESTMENT DECISIONS BASED UPON, OR THE RESULTS OBTAINED FROM, THE CONTENT PROVIDED HEREIN. NONE OF RIVERSIDE NETWORKS PROVIDERS GUARANTEE OR WARRANT THE TIMELINESS, SEQUENCE, ACCURACY OR COMPLETENESS OF ANY SUCH INFORMATION. NOTHING CONTAINED IN RIVERSIDE NETWORKS SHALL BE CONSTRUED AS INVESTMENT ADVICE. NONE OF RIVERSIDE NETWORKS PROVIDERS IS A REGISTERED BROKER DEALER OR INVESTMENT ADVISOR, AND NONE OF THEM GIVES INVESTMENT ADVICE OR RECOMMENDS ONE PRODUCT OVER ANOTHER.

Indemnification

You agree to defend, indemnify and hold harmless Riverside Networks Providers and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of your use of Riverside Networks.

Termination

Riverside Networks has the right to terminate your account or access to Riverside Networks and other Riverside Networks properties for any reason, including, without limitation, if it, in its sole discretion, considers your use to be unacceptable, or in the event of any breach by you of the Terms of Service (either directly or through breach of any other terms and conditions or operating rules applicable to you). Riverside Networks may, but shall be under no obligation to, provide you a warning prior to termination of your use of Riverside Networks.

Trademarks

All trademarks appearing on Riverside Networks are the property of their respective owners, including, in some instances, Riverside Networks and its co-collaboration partners and affiliates, including, without limitation, Riverside Networks Communications, RNCSA, Wikibytes, Web Squids, Mozeditor, RMB's (Real Media Blogs) and Pineapple Blue Media.

Premium Services

There may be extra charges to use or access certain premium or subscription content or products ("Subscriptions") on Riverside Networks. The Subscriptions will be subject to additional terms and conditions, which will supplement this agreement. You will need to agree to such additional terms and conditions in order to access any Subscriptions.

Electronic Delivery Policy

Riverside Networks, as an on-line business, transacts with its members electronically. WHEN YOU SIGN UP FOR ANY RIVERSIDE NETWORKS PRODUCT, YOU CONSENT TO RECEIVE ELECTRONICALLY FROM RIVERSIDE NETWORKS ANY PRIVACY OR OTHER NOTICES, AGREEMENTS, DISCLOSURES, REPORTS, DOCUMENTS, COMMUNICATIONS, OR OTHER RECORDS (COLLECTIVELY, "NOTICES"). You agree that Riverside Networks generally can send you electronic Notices in either or both of the following ways: (1) to your Riverside Networks 'My Mail', or (2) to the e-mail address that you provided to Riverside Networks during registration or (3) Riverside Networks may post certain Notices on a welcoming screen. You agree that certain premium services may also have their own Notice procedures. As long as you are able to access and use Riverside Networks, you will have the necessary software and hardware requirements to receive electronic Notices from Riverside Networks. The delivery of any Notice from Riverside Networks is effective when sent by Riverside Networks, regardless of whether you read the communication when you receive it or whether you actually receive the delivery. Your only method of withdrawing consent to receive notices electronically is to terminate any subscriptions, services or other products provided under this Agreement.

Miscellaneous

I. The provisions of this Registered User Agreement addressing disclaimers of representations and warranties, indemnity obligations, intellectual property, Subscriptions and governing law shall survive the termination of this Agreement, your Subscriptions and your registration with Riverside Networks.

II. This Registered User Agreement and any operating rules for any areas of functionality of Riverside Networks established by Riverside Networks constitute the entire agreement between the Riverside Networks and you regarding the subject matter of this Registered User Agreement, and supersede all previous written or oral agreements. This Registered User Agreement shall be deemed supplemented by other terms of service or operating rules for any particular content, software, tools, services or functionality, except that in the event of any inconsistency between this Registered User Agreement and any such other terms of use or operating rules, this Registered User Agreement will supersede such other terms of sue or operating rules. The Terms of Service and Registered User Agreement shall be governed by and construed in accordance with the laws of England and Wales (English Law), without regard to its conflict of laws rules. You expressly agree that the exclusive jurisdiction for any claim or dispute under the Terms of Service and Member Agreement or your use of Riverside Networks resides in the courts located in the England and Wales, and you further expressly agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action. No waiver by either party of any breach or default thereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import. Riverside Networks Communications operates Riverside Networks.
